Terms of Service

1. Service Description

Portrop is a stock analysis and portfolio matching tool that allows you to:

• Search for stocks and discover similar securities using multi-factor quantitative analysis (price correlation, sector, market cap, fundamentals, and related metrics).
• Build a portfolio of holdings and match it against known institutional investor 13F filings.
• View financial data including stock prices, company profiles, and similarity scores.
• Optionally create an account to save portfolios, increase usage quotas, and access premium features through a paid subscription.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. Notify us immediately at security@portrop.com if you believe your account has been compromised. You must be at least 18 years old to create an account.

4. Subscriptions, Billing, and Refunds

Portrop offers a free tier with limited daily usage and two paid subscription tiers ("Analyst" and "Pro"). Payments are processed by Lemon Squeezy, our Merchant of Record.

• Billing cycle. Subscriptions renew automatically at the end of each billing cycle (monthly or annually, depending on the plan you select) until you cancel. The renewal charge is for the next full billing cycle at the then-current price.
• Price changes. We may change subscription prices. For existing subscribers we will provide at least 30 days notice by email before a price change takes effect. Continued use after the change constitutes acceptance of the new price; cancel before the renewal date if you do not agree.
• Cancellation. You may cancel at any time from your account page. Cancellation stops future renewals. Your paid access continues until the end of the billing cycle you have already paid for.
• Refunds. Subscription fees are generally non-refundable. We will refund the most recent monthly charge if you request a refund within 14 days of that charge and have not used premium features meaningfully during that period. Annual plans are refundable on a pro-rata basis within the first 30 days. Refunds outside these windows are granted at our sole discretion. Taxes collected and remitted by Lemon Squeezy may not be refundable; contact billing@portrop.com for refund requests.
• Downgrades. When you downgrade, premium features remain available until the end of the current billing cycle. After that, your saved portfolios above the lower tier's limit will be set to read-only until you reduce the number of saved portfolios or upgrade again.
• Taxes. Lemon Squeezy collects and remits applicable sales tax, VAT, and GST based on your billing jurisdiction. Quoted prices may be shown exclusive of tax; the final price is displayed at checkout.
• Failed payments. If a renewal charge fails, we will retry and notify you by email. Paid features are suspended if the charge is not recovered within the grace period set by Lemon Squeezy (typically 14 days).

5. Data Accuracy and Timeliness

Financial data displayed on Portrop is sourced from the Twelve Data API, public SEC EDGAR filings, and other third-party data providers. While we strive to present accurate information:

• We do not guarantee the accuracy, completeness, reliability, or timeliness of any financial data, similarity score, or portfolio match result.
• Market data may be delayed and may not reflect real-time pricing.
• Data errors, omissions, or interruptions from upstream providers are outside our control.
• You are responsible for independently verifying any information before relying on it for any purpose, including investment decisions.

6. Intellectual Property

The Portrop name, logo, website design, user interface, source code, similarity algorithms, and all original content are the intellectual property of VeriduxLabs. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

Financial market data displayed through the Service is provided under license from Twelve Data and public SEC filings and remains the property of its respective owners.

7. Acceptable Use

When using Portrop you agree not to:

• Scrape, crawl, or use automated tools to extract data from the Service beyond any official API we may offer.
• Circumvent rate limits, freemium quotas, or paywalls — for example by creating multiple accounts, using multiple IP addresses, or programmatic access without our written permission.
• Share your account credentials, subscription access, or API keys with anyone else.
• Reverse-engineer, decompile, or extract the source code or algorithms of the Service.
• Redistribute, resell, or republish data obtained from the Service, whether free-tier or paid-tier.
• Use the Service in any way that could damage, disable, overburden, or impair our servers or infrastructure.
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations, including but not limited to securities laws, sanctions, export controls, or the laws of your jurisdiction.

We may suspend or terminate any account that violates these terms, without refund for the unused portion of a subscription if the termination is for cause.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• VeriduxLabs shall not be liable for any investment losses, financial damages, or other losses resulting from your use of, or reliance on, information provided by Portrop.
• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service.
• Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or US$100, whichever is greater.
• We are not responsible for errors, interruptions, or data loss caused by third-party service providers, including Twelve Data, Supabase, Lemon Squeezy, or our hosting provider.

9. Indemnification

You agree to indemnify and hold harmless VeriduxLabs and its personnel from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service in violation of these Terms or of any applicable law, or from any investment decision you make based on information shown by the Service.

10. Service Availability

We aim to keep Portrop available and functional, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, third-party outages, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time. If we permanently discontinue a paid feature, we will pro-rata refund the unused portion of active subscriptions.

11. Third-Party Links and Services

Portrop may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of any third-party sites. Your use of external links is at your own risk.

12. Termination

You may terminate your account at any time from your account page or by emailing privacy@portrop.com. We may suspend or terminate your account if you materially violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Changes to These Terms

We may revise these Terms at any time by updating this page. Material changes will be announced with updated "Last updated" dates and, for registered users, by email. Your continued use of Portrop after any changes constitutes acceptance of the revised Terms. If you do not agree, stop using the Service and cancel any active subscription.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. Nothing in this clause limits consumer rights that cannot be waived under the mandatory law of your country of residence.
